Nicole Tan has garnered substantial width and depth in corporate and securities law for more than a decade. She is able to assist companies from their inceptions, through their various acquisitions, fund raising activities, and other commercial transactions to their public offerings. She also assists listed clients in their compliance matters and secondary fund-raisings. Nicole is also involved in take-overs, mergers and acquisitions and privatisations.

Nicole is a member of KhattarWong’s International China Practice and was named AsiaLaw Leading Lawyers 2008 (Mergers & Acquisitions). She is the adjunct assistant professor of the Business School, National University of Singapore.

Experience

  • Acting for financial advisor in relation to the material acquisition which would result in the reverse take-over of Gates Electronics Limited.
  • Acted for the issue manager in relation to the initial public offering of China Kunda Technology Holdings Limited, a Hong Kong mould manufacturer with operations in PRC
  • Acted for the sponsor, underwriter and placement agent for the initial public offering and Listing of Qualitas Medical Group Limited.
  • Acted for the issue manager, underwriters and placement agents for the initial public offering and Listing of CentraLand Limited.
  • Acted for issue manager, underwriters and placement agents for the initial public offering and Listing of China Sports International Limited.
  • Acted for acquisition of substantial stake in KS Energy Services Limited, a Singapore company listed on the Mainboard.
  • Acted for Bugis City Holdings Pte Ltd and Capitaland Retail (SI) Investments Pte. Ltd. in (their sale of Bugis Junction Towers via) their sale of the entire shareholding in BCH Office Investment Pte Ltd (BCH Office) to Keppel Land Properties Pte Ltd
  • Acted for divestment of substantial stake in SSH Corporation Ltd., a Singapore company listed on the Mainboard.
  • Acted for Goodpack Limited, a Mainboard-listed company, in its rights issue of European-style warrants.
  • Acted for AnnAik Limited in its initial public offering and listing and quotation on the Mainboard of the Singapore Exchange
  • Acted for financial advisers to Thakral Holdings Limited (diversified property group – hotel chains, retail/ commercial buildings & property development with total assets of over $1 billion) in cross-border debt restructuring
  • Assisted and advised Ayala International Holdings Limited, a Mainboard listed property developer with interests in Singapore, Malaysia, Hong Kong and Australia in the takeover offer by the Ayala Group, a Philippines conglomerate, which resulted in the eventual delisting of Ayala International Holdings Limited when the offeror exercised its rights of compulsory acquisition.
  • Acted as Singapore counsels to General Electric Capital Corporation in its acquisition of the global business of Comdisco Inc.
